The legal representative visits the bank in person to open the operating account.

From the first quarter, the company keeps VAS accounts and files tax returns and investment reports; from the second year, it also renews its registered address and goes through an audit. We quote the ongoing cost before you pay for registration.

Opening a bank account for your Vietnamese company

Accounts are opened after the company is registered, but we choose the bank before that. A foreign-owned company needs at least two: a DICA for the capital and an operating account for day-to-day payments. We open both at the same bank.

Direct investment capital account (DICA)Required by law

Used to pay in the charter capital, receive shareholder loans and send profits abroad. One per company

Vietcombank, BIDV, VietinBank

Operating account

Salaries, taxes and local suppliers in VND, client payments in USD

Vietcombank, BIDV, VietinBank

FintechOnline

Payments from overseas clients, marketplace payouts and contractor payments in multiple currencies

Airwallex, Payoneer

3-10 daysonline application
  • 01

Capital goes through the DICA only

Funds are sent from abroad to the DICA within 90 days of the ERC. The bank will not count a contribution made to the operating account.

  • 02

    Profits leave the same way

Dividends can be sent abroad after the audit and corporate income tax are finalised, with 7 working days notice to the tax office.

  • 03

    One bank visit

The legal representative visits the bank in person. We prepare the documents so the DICA and operating account are opened in one go.

We will tell you which of the three banks suits your business line and payment currencies.

How it works

Requirements and steps to register a company in Vietnam

Registration does not require a trip: documents are notarised and translated remotely. The legal representative will need to come to Vietnam to open the accounts and collect the visa.

  1. Day 0

    Check and planning

We check your business line against the market access rules for foreign investors and decide whether the ERC or the IRC comes first. We choose the bank and the legal representative and fix the scope and price in the contract.

  2. 3 working days

    Your documents

The founder's passport and a bank statement showing a balance at least equal to the charter capital. If the founder is a company, we also need its constitutional documents. We handle translation into Vietnamese and notarisation.

Choose an English name, ideally with 3 options. We prepare the Vietnamese version ourselves

  3. ERC in 3 working days

    Incorporation

We file with the provincial Department of Finance. A registered address in Vietnam is required by law, and we provide it. You receive the ERC with your tax code and the company seal. If your business line needs the IRC first, it takes longer, and we tell you at step one.

  4. 1-2 weeks

    Accounts and capital

We open the DICA and an operating account at the same bank. The charter capital must be paid in within 90 days of the ERC, by transfer from abroad to the DICA.

  5. About 2 months

    Work permit and TRC

We obtain a 2-year work permit for the director, followed by the TRC. You will need a degree or proof of experience, a criminal record check and a health certificate. Since 11 September 2026, documents from Apostille Convention countries need only an apostille.

What you receive

  • Enterprise Registration CertificateERC, which also serves as your tax registration
  • Investment Registration CertificateIRC, if your business line requires one

Taxes

Corporate income tax for Vietnamese companies

The standard corporate income tax rate is 20%. Dividends paid to a foreign corporate shareholder are not taxed, while a foreign individual pays 5%.

Updated October 2026

How much tax will the company and owner pay?

Choose your annual profit in US$

Tax for the yearUS$72,000≈ VND 1.87bn on a profit of ≈ VND 7.8bn
Total tax burden24%

VAT is 10%, reduced to 8% for most goods and services until the end of 2026. The business licence fee was abolished from 2026. VND 26,000 to US$1.

How to reduce tax legally

The 20% rate can only be reduced in the ways set out in law

Reduces tax
  • A new project in a priority sector such as software production, high tech or R&D. A 10% rate and tax holidays
  • Expenses backed by an e-invoice and paid by bank transfer reduce the tax base
  • A corporate rather than individual shareholder: dividends free of Vietnamese tax
Will not work
  • An industrial zone address on its own: this incentive was removed from 1 October 2025
  • Interest on shareholder loans above 30% of EBITDA is not deductible
  • Below-market pricing with the parent company: the tax office will adjust it

Plan incentives before incorporationThey depend on the sector and location of the project, which are recorded in the certificates. We check whether your project qualifies at step one.

Use cases

Use cases from our Vietnam clients

Three projects from our practice: what the client needed, what we did and how it turned out. Client names are abbreviated.

Vietnam, China and the EU Company registration

Moving part of an electronics assembly line from China to Vietnam

The challenge

The client assembles electronics for household appliances and sells to buyers in the EU. Tariffs on Chinese-origin goods were eating into margins, and customers started asking outright about a production site outside China. Part of the line was moved near Hai Phong: the logistics stayed the same and component suppliers are close by.

What we did

We registered a 100% foreign-owned LLC. Most of the time went on legalising the parent company's documents and on the business plan, as the authority sent the first version back with questions. We obtained a work permit and TRC for the director and opened the accounts before the capital was paid in.

The result

41 daysto the full set of documents
0% dutyon exports to the EU under the EVFTA

We did not run away from China, we just stopped being only Chinese. Half of our sourcing is still there. What surprised me was that the paperwork took longer than the factory. We ended up a month behind schedule, but that was down to our notary, not Vietnam.

Viktor K., electronics manufacturer
Vietnam, Da Nang Company registration

An engineering office in Vietnam: an in-house team in Da Nang instead of a vendor

The challenge

A product company wanted its own in-house development team rather than a vendor. They compared India and the Philippines and chose Da Nang: strong engineers, lower turnover and a workable time difference with the European office. The vendor cost more and gave no control over the code.

What we did

We set up an LLC for software development. The business line is open to foreign investors without conditions, so we obtained the ERC first and hiring began, while the IRC was processed in parallel, as the new investment law allows. Accounting went to local support from day one, since it follows Vietnamese standards and is kept in Vietnamese.

The result

33 daysto the first developer hire
12 peopleon staff after six months

We expected to save on salaries, but mostly we saved on turnover. People do not leave after six months. The one thing I was not ready for was bookkeeping in Vietnamese and an audit you need even before you have really earned anything. It is simply the cost of entry, so budget for it from the start.

Dylan M., software development
Vietnam and Korea Company registration

Importing Korean cosmetics and selling in Vietnam without a distributor

The challenge

The client imports cosmetics from Korea and wanted to sell in Vietnam directly. Working through a local distributor ate into margins and left no control over pricing. At first they assumed a standard registration would do, but domestic trading turned out to be a conditional business line for foreign investors.

What we did

The order was different: first the IRC, then the ERC and a separate trading licence for retail. The capital was set higher than first planned, because the authority would not accept a low figure for the stated turnover. The accounts and import documents were in place before the first shipment.

The result

58 daysincluding the trading licence
3 documentsIRC, ERC and trading licence

I was sure I would register the company and start importing. I only found out mid-process that trading needs a separate licence, and it cost us two months and a season. It is funny now, it was not at the time. If someone had simply told me at the start to check my business line against the list, I would have saved a lot of stress.

Restrictions and alternatives

When another jurisdiction is a better fit

Vietnam works well for manufacturing, development teams and selling on the local market. If you do not need to operate inside the country, another jurisdiction is simpler.

Restrictions in Vietnam Check my business line
  • Not every business line is openSome are closed to foreign investors or need a local partner, advertising for example. Holding shares in a local person's name on your behalf is not an option: it has been expressly banned since 23 July 2026.
  • Currency controlsCapital comes in only through the DICA, and profits leave after the audit and tax are settled. Transfers are not allowed while there are accumulated losses.
  • Director and bank on the groundThe legal representative must live in Vietnam, and the operating account requires an in-person bank visit.

Not sure which jurisdiction is right? We will compare 2-3 options for your goals and budget.

FAQ

Vietnam company registration FAQ

The questions clients ask us most often at the first consultation.

Can I register a company in Vietnam remotely?

Registration does not require a trip: we translate the founder's documents into Vietnamese, have them notarised and file under a power of attorney. Since 11 September 2026, Vietnam accepts documents from Apostille Convention countries with an apostille, so consular legalisation is no longer needed for them.

The legal representative will need to come to Vietnam: by law they must reside there, and they open the bank accounts in person and receive the work permit and TRC. If nobody plans to relocate, we can provide a local director as a separate service.

How much does it cost to register a company in Vietnam?

There are three packages: Start at US$1,800, Corporate at US$4,200 and Full service at US$6,100. Government fees are included, and Start already covers a registered address for the first year.

Corporate adds a 2-year work permit and TRC for the director and VAS accounting setup. Full service adds the DICA, an operating account with a local bank, a fintech account and capital contribution tracking. See the package comparison.

How long does registration take, and when can the company accept payments?

If your business line is open to foreign investors, the ERC takes from 12 days: about 3 working days for translation and notarisation, then 3 working days for registration itself. Conditional business lines need the IRC first, which the law allows 15 working days to issue, and the whole project takes 1.5-2 months.

The company can accept payments once the accounts are open: a bank takes 1-2 weeks after registration, a fintech 3-10 days. The director's work permit and TRC take about 2 months. See the step-by-step breakdown above.

Can a foreigner own 100% of a company in Vietnam?

Yes, if your business line is open to foreign capital. Some business lines are conditional, such as domestic trading, advertising and parts of logistics. These need additional licences and sometimes a local partner.

We check your business line before filing. If it is closed to foreign investors, we will go through the options in a consultation. Holding shares in a local person's name on your behalf is not an option: it has been expressly banned since 23 July 2026, and companies must disclose their beneficial owners.

What are the ERC and the IRC, and which comes first?

The ERC is the Enterprise Registration Certificate, which also gives the company its tax code. The IRC is the Investment Registration Certificate, which approves a foreign investor's project.

Since 1 March 2026, the ERC can come first if the business line meets the market access conditions. The IRC must then be obtained within 12 months, and the project cannot start until it is. Banks accept capital into the DICA only on the basis of the IRC, so we usually obtain both certificates back to back.

How much charter capital is required?

For most business lines there is no legal minimum, but the amount must match the project plan: the authority may reject a low figure for the stated turnover. The IRC application needs a bank statement showing a balance at least equal to the charter capital.

The capital is paid in within 90 days of the ERC by transfer from abroad to the DICA.

Which account should I open: a Vietnamese bank or a fintech?

You need a Vietnamese bank account in any case, because capital comes in and profits leave only through the DICA. The operating account for salaries, taxes and local suppliers is easiest to open at the same bank; we work with Vietcombank, BIDV and VietinBank. The legal representative visits the bank in person.

Airwallex or Payoneer open within 3-10 days and are useful for payments from overseas clients, but they do not replace the DICA. See the account section.

How can I reduce corporate income tax in Vietnam legally?

The standard rate is 20%. New projects in priority sectors such as software production, high tech and R&D qualify for a 10% rate and tax holidays. Losses can be carried forward for 5 years, and expenses of VND 5m or more are deductible only with an e-invoice and payment by bank transfer.

The industrial zone location incentive was removed from 1 October 2025, and the reduced 15% and 17% small-business rates do not apply to subsidiaries of groups that fail the conditions. See the tax section.

How do I send profits out of Vietnam?

Profits can be transferred to the shareholder after the annual accounts are audited, the final CIT return is filed and all taxes are paid. The transfer goes through the DICA, with 7 working days notice to the tax office. Transfers are not allowed while the company has accumulated losses.

Dividends paid to a foreign corporate shareholder are not taxed, while a foreign individual pays 5%.

Is an audit required if the company has not traded?

Yes. An audit is required for every foreign-invested company, even with no turnover, and quarterly tax returns must be filed regardless. A late tax return can cost up to VND 25m in fines, and without an audit the company cannot send profits abroad. Without transactions, the audit is quicker and cheaper.

Do I pay tax in my home country if the company is in Vietnam?

Most likely yes, depending on your tax residence. Vietnam withholds 5% on dividends to individuals, and this can usually be credited in your country of residence if there is a double tax treaty between the two countries.

Many countries have controlled foreign company (CFC) rules: you may have to declare your stake in a foreign company, and its undistributed profits may be taxed even without dividends. It is best to review the structure with a tax adviser in your country before registering.

How much does it cost to maintain the company after registration?

Each year the company renews its registered address, keeps VAS accounts, files quarterly tax returns and investment reports and goes through an audit. Accounting and audit fees depend on the volume of transactions, so we give an exact figure after a short call about your business.

We do this before you pay for registration, so you can see your costs for the first two years. The compliance calendar is above.
