Company registration requirements in Bahrain

To register a WLL, you need shareholder documents, activity codes under the MOIC classification and an approved commercial address. The application is filed through a professional body without a power of attorney, while regulated activities such as financial services also require approval from the relevant regulator.

If a shareholder is a company, you will need its certificate of incorporation, constitutional documents, latest audited financial statements and a resolution approving its participation in the Bahrain company. Bahrain is a party to the Hague Apostille Convention, so documents from Russia, Kazakhstan, Georgia and other member states only need an apostille, with no consular legalisation.

Shareholders and capital

From 1 to 50 shareholders of any nationality, either individuals or companies. There is no minimum capital and you decide the amount, but it is deposited into a Bahraini bank account, and the bank's certificate is needed for final registration.

The manager is appointed in the MOA, and the founder can take on this role. Trading on Bahrain's domestic market also requires a local director, a service we provide separately.

Beneficial owner details are filed in Sijilat at registration and updated whenever ownership changes. Anonymous ownership is not possible in Bahrain.

How company taxation works

General rule

Bahrain has no general corporate income tax law. Foreign ownership on its own does not create a tax liability: a WLL with a single foreign shareholder pays the same 0% as a local company.

Minimum tax for large groups

Decree-Law No. 11 of 2024 introduced a 15% tax for companies in multinational groups with consolidated revenue of €750m or more in at least two of the four preceding years. These companies register with the NBR and make advance payments.

Oil and gas

The only sector-specific tax on profits: 46% for companies engaged in exploration, production or refining of hydrocarbons in Bahrain. Service companies supporting the oil and gas industry are not covered by it.

Dividends and personal income

There is no personal income tax or capital gains tax. Dividends, interest and royalties are paid to non-residents with no withholding tax.

A 0% tax rate does not mean no reporting: an audit and annual report are mandatory for every WLL, and a late report is the most common reason CR renewal gets blocked. Retail and trading within Bahrain

Trading on the domestic market requires a local director, and some activities are closed to foreigners or require a Bahraini shareholding. The market itself is small, with around 1.6 million residents.

Financial services or crypto assets

A WLL cannot carry out banking or insurance. Payments, client money management and crypto-asset services need a separate licence from the Central Bank of Bahrain, with its own requirements and timelines.

Clients who need a fast start and a larger market tend to choose the UAE. Those who prioritise tax and access to Saudi Arabia via the causeway choose Bahrain.

For most activities, no: consulting, IT, marketing, manufacturing and export trading are open to 100% foreign ownership. However, there are three exceptions we check against the activity code before filing. Some activities are reserved for Bahrainis. Some require a Bahraini to hold at least 51%. And trading on the domestic market requires a local director. In the last two cases, we arrange director and shareholder services, priced separately from the package. Sometimes the same business can be registered under a different activity code with no restrictions, and that is the first thing we look at.

Yes, your company sponsors your investor visa for 1 or 2 years, with no third-party sponsor needed. To apply, you need an active CR, a commercial address with a registered lease, the bank's capital certificate, a medical test at an approved centre and local health insurance. Once approved, you complete biometrics and receive an ID card (CPR) valid for 5 years. Your spouse and children can be sponsored on family visas, and unlike employees, no monthly fee is charged for dependants. We recommend taking the 2-year visa from the outset: it means far less hassle with renewals.

There has been no minimum capital for a WLL since 2020. Many websites still quote BHD 20,000, but that information is out of date. Even so, capital in Bahrain is not a formality: it is deposited into a local bank account, and the bank's certificate is needed for final registration. The money stays with the company and is not a fee. Very low capital alongside significant turnover plans raises questions at the bank, so we agree the amount with each client based on the activity and business plan, not a template.
